The Dezignovate App and the Website may contain text, graphics, images, and other material (the “Content”). The Content is for informational purposes only and is not intended to be a substitute for professional advice or instruction.

Prohibited Conduct

You agree not to use the Dezignovate App or the Website to:

• Upload, post, email, or otherwise transmit any Content that is illegal, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable;

• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;

• Upload, post, email, or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

• Upload, post, email, or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party;

• Upload, post, email, or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation;

• Upload, post, email, or otherwise transmit any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;

• Upload, post, email, or otherwise transmit any material that is false, misleading, or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory, or libellous;

• Interfere with or disrupt the App or the Website or servers or networks connected to the App or the Website, or disobey any requirements, procedures, policies, or regulations of networks connected to the App or the Website;

User Submissions

You retain ownership of any content, including but not limited to text, images, and videos, that you submit to the App or the Website (the “User Submissions”). By submitting User Submissions, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable, and perpetual license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the App and the Website, and in any media formats and through any media channels.

Intellectual Property

The Dezignovate  App and the Website, including but not limited to its software, text, images, and Content, are protected by intellectual property laws, including but not limited to copyright, trademark, and patent laws. You acknowledge and agree that the App and the Website, including all associated intellectual property rights, are the exclusive property of us and our licensors. You may not use any Content from the App or the Website without express written permission from us.

Disclaimers

The Dezignovate App and the Website, including all Content, are provided on an “as is” and “as available” basis. We do not make any representations or warranties of any kind, express or implied, as to the operation of the App or the Website or the Content, including but not limited to the accuracy, completeness, reliability, or availability of the Content. We do not warrant that the App or the Website will be uninterrupted or error-free.

Limitation of Liability

In no event shall we be liable for any damages, including but not limited to direct, indirect, special, incidental, or consequential damages, arising out of or in connection with the use of the App or the Website or the Content, whether based on warranty, contract, tort, or any other legal theory, and whether or not we are advised of the possibility of such damages.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.

Dispute Resolution

Any dispute arising out of or relating to these Terms or the App or the Website shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
